Ce g\u00e9rant, investi d&rsquo;un mandat de repr\u00e9sentation de la soci\u00e9t\u00e9, repr\u00e9sentera la soci\u00e9t\u00e9 \u00e0 l&rsquo;\u00e9gard des tiers. Ainsi, le g\u00e9rant pourra conclure des contrats au nom de la soci\u00e9t\u00e9. Encore, ces actes pourront engager la soci\u00e9t\u00e9, m\u00eame s&rsquo;ils d\u00e9passent son objet social. pr\u00e9conis\u00e9 d&rsquo;adresser la lettre de d\u00e9mission g\u00e9rant par voie de recommand\u00e9 avec avis de r\u00e9ception. En effet, recourir \u00e0 ce service permet de se constituer une preuve. Ainsi, en cas de conflit, il sera possible de prouver qu&rsquo;une lettre de d\u00e9mission de g\u00e9rant SARL a bien \u00e9t\u00e9 envoy\u00e9e. Encore, la date de la r\u00e9ception du courrier sera \u00e9tablie.<\/p><h2 id=\"2\">\u00a0<\/h2><h2 id=\"2\">Les \u00e9l\u00e9ments \u00e0 inclure dans la lettre de d\u00e9mission g\u00e9rant<\/h2><h3>L&rsquo;ent\u00eate de la lettre de d\u00e9mission co-g\u00e9rant ou g\u00e9rant<\/h3><p>Tout d&rsquo;abord, comme dans toute lettre, l&rsquo;auteur du courrier devra indiquer les \u00e9l\u00e9ments permettant de l&rsquo;identifier. Ainsi, il devra indiquer ses nom, pr\u00e9nom et adresse.<\/p><p>Ensuite, il conviendra d&rsquo;indiquer l&rsquo;identit\u00e9 et l&rsquo;adresse du destinataire de la lettre de d\u00e9mission du g\u00e9rant. Or, il se peut que la lettre doive \u00eatre r\u00e9dig\u00e9e en plusieurs exemplaires, chacun devant \u00eatre remis \u00e0 une personne diff\u00e9rente. Pour le savoir, il conviendra de v\u00e9rifier, notamment, ce qui est pr\u00e9vu dans les statuts de la SARL au titre de la d\u00e9mission du g\u00e9rant. Encore, il est courant d&rsquo;adresser une lettre \u00e0 chacun des associ\u00e9s de la SARL, et \u00e9galement \u00e0 chacun des co-g\u00e9rants en cas de r\u00e9daction d&rsquo;une lettre de d\u00e9mission co-g\u00e9rant SARL. Ainsi, il conviendra de r\u00e9diger autant de lettres que la soci\u00e9t\u00e9 comporte d&rsquo;associ\u00e9s et de g\u00e9rants.<\/p><p>Alors, il conviendra, comme pour tout courrier, d&rsquo;indiquer la date.<\/p><p>Enfin, l&rsquo;auteur devra indiquer l&rsquo;objet du courrier. Ainsi, il devra indiquer que le courrier traitera de sa d\u00e9mission au titre de ses fonctions de g\u00e9rant ou de co-g\u00e9rant.<\/p><h3>\u00a0<\/h3><h3>Le corps de la lettre de d\u00e9mission co-g\u00e9rant ou g\u00e9rant<\/h3><p>La corps de la lettre devra indiquer la d\u00e9mission du g\u00e9rant ou du co-g\u00e9rant.<\/p><p>Ainsi, il faudra indiquer la date de d\u00e9part des fonctions. Si un pr\u00e9avis est pr\u00e9vu dans les statuts, celui-ci pourra \u00eatre pris en compte pour fixer la date de d\u00e9part effective. Toutefois, il est possible pour le g\u00e9rant d\u00e9missionnaire de ne pas respecter le pr\u00e9avis. Dans ce cas, il s&rsquo;exposera seulement au paiement de dommages-int\u00e9r\u00eats.<\/p><p>Encore, il faudra indiquer les raisons de la d\u00e9mission. Il n&rsquo;est pas n\u00e9cessaire de d\u00e9velopper ces raisons, sauf en cas de conflit ayant men\u00e9 \u00e0 la d\u00e9mission, ou si le g\u00e9rant pressent que sa d\u00e9mission pourrait se r\u00e9v\u00e9ler conflictuelle. Dans un tel cas, la lettre de d\u00e9mission g\u00e9rant pourra pr\u00e9ciser les raisons pour lesquelles la d\u00e9mission est annonc\u00e9e.<\/p><p>Dans tous les cas, il convient de noter que la d\u00e9mission ne doit pas intervenir dans des conditions abusives. La d\u00e9mission sera abusive, et donc condamnable, si elle intervient dans des circonstances de nature \u00e0 nuire \u00e0 la soci\u00e9t\u00e9, notamment si la soci\u00e9t\u00e9 se retrouve sans dirigeant. Ainsi, si l&rsquo;unique g\u00e9rant de la SARL d\u00e9missionne, il lui appartiendra d&rsquo;indiquer qu&rsquo;il convoque une assembl\u00e9e g\u00e9n\u00e9rale aux fins de nommer un nouveau g\u00e9rant.<\/p><p>Aussi, s&rsquo;il s&rsquo;agit de la lettre de d\u00e9mission co-g\u00e9rant SARL, il est souvent demand\u00e9 aux autres co-g\u00e9rants d&rsquo;effectuer les formalit\u00e9s n\u00e9cessaires pour que son nom n&rsquo;apparaisse plus sur le Kbis de la soci\u00e9t\u00e9.<\/p><h2 id=\"3\">\u00a0<\/h2><h2 id=\"3\">Et apr\u00e8s ?<\/h2><p>La d\u00e9mission sera effective d\u00e8s r\u00e9ception de la lettre de d\u00e9mission g\u00e9rant SARL. Ainsi, le g\u00e9rant ne pourra pas revenir sur sa d\u00e9cision de d\u00e9missionner. Ensuite, les <a href=\"https:\/\/www.legalvision.fr\/modification-statuts\/demission-du-gerant\"><strong>formalit\u00e9s<\/strong><\/a> devront \u00eatres accomplies, notamment s&rsquo;il faut nommer un nouveau g\u00e9rant.
