associ\u00e9s en assembl\u00e9e g\u00e9n\u00e9rale<\/h3><p><span style=\"font-weight: 400;\">Le principe g\u00e9n\u00e9ral est celui de<\/span> la libre r\u00e9vocation<span style=\"font-weight: 400;\"> du <a href=\"https:\/\/blog.legalvision.fr\/2018\/05\/21\/changement-de-gerant-sarl\/\">g\u00e9rant d\u2019une SARL<\/a>. Cela signifie que les associ\u00e9s peuvent voter la fin de ses fonctions en <\/span>assembl\u00e9e g\u00e9n\u00e9rale ordinaire<span style=\"font-weight: 400;\"> (AGO). Pour cela, il faut respecter la proc\u00e9dure de convocation d\u2019une assembl\u00e9e g\u00e9n\u00e9rale. Cette convocation rel\u00e8ve de la seule comp\u00e9tence du g\u00e9rant. S\u2019il y en a plusieurs, les statuts doivent d\u00e9terminer si chaque g\u00e9rant peut d\u00e9cider seul de la convocation ou s\u2019il doivent agir de mani\u00e8re collective. <\/span><\/p><p><span style=\"font-weight: 400;\">Quelle majorit\u00e9 est n\u00e9cessaire ? Cette r\u00e9vocation d\u2019un g\u00e9rant de SARL doit \u00eatre vot\u00e9e par un ou plusieurs associ\u00e9s repr\u00e9sentant<\/span> plus de 50% des parts sociales<span style=\"font-weight: 400;\">. Les statuts peuvent pr\u00e9voir une majorit\u00e9 plus forte pour d\u00e9cider de la r\u00e9vocation ainsi qu\u2019une seconde consultation si la majorit\u00e9 n\u2019est pas atteinte lors de la premi\u00e8re.<\/span><\/p><h3>\u00a0<\/h3><h3>Comment r\u00e9voquer un g\u00e9rant majoritaire ?<\/h3><p><span style=\"font-weight: 400;\">Lorsque le g\u00e9rant est un associ\u00e9, on distingue deux types de g\u00e9rants (minoritaire ou majoritaire), qui emportent des cons\u00e9quences diff\u00e9rentes sur les modalit\u00e9s de la r\u00e9vocation. <\/span><\/p><ul><li style=\"list-style-type: none;\"><ul><li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Le<\/span><b> g\u00e9rant minoritaire<\/b><span style=\"font-weight: 400;\"> : cela signifie qu\u2019il d\u00e9tient moins de 50% du capital de la soci\u00e9t\u00e9. En cas de cog\u00e9rance, on d\u00e9termine le caract\u00e8re minoritaire ou majoritaire par rapport au nombre total de parts d\u00e9tenues par les g\u00e9rants collectivement. Sa r\u00e9vocation peut \u00eatre d\u00e9cid\u00e9e librement par les associ\u00e9s, sans qu\u2019il ne puisse s\u2019y opposer en raison de sa participation au capital.<\/span><\/li><\/ul><\/li><\/ul><div><span style=\"font-family: Montserrat;\">\u00a0<\/span><\/div><ul><li style=\"list-style-type: none;\"><ul><li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Le <\/span><b>g\u00e9rant majoritaire<\/b><span style=\"font-weight: 400;\"> : le g\u00e9rant (ou les g\u00e9rants en cas de cog\u00e9rance) d\u00e9tient plus de 50% des parts sociales. Il peut donc s\u2019il le souhaite bloquer sa propre r\u00e9vocation, \u00e9tant ma\u00eetre \u00e0 bord. La loi pr\u00e9voit que le g\u00e9rant est r\u00e9vocable par les tribunaux (r\u00e9vocation judiciaire) pour cause l\u00e9gitime, \u00e0 la demande de tout associ\u00e9. \u00a0<\/span><\/li><\/ul><\/li><\/ul><h2 id=\"II\">\u00a0<\/h2><h2 id=\"II\">L\u2019exigence de justes motifs \u00e0 la r\u00e9vocation<\/h2><h3><span style=\"font-weight: 400;\">Qu\u2019est-ce qu\u2019un juste motif ? <\/span><\/h3><p>Le g\u00e9rant n\u2019est r\u00e9vocable que pour justes motifs. La r\u00e9vocation du g\u00e9rant n\u2019est donc pas possible pour n\u2019importe quelle raison. Pour donner une id\u00e9e, voici une liste de motifs de r\u00e9vocation consid\u00e9r\u00e9s comme justes :<\/p><ul><li style=\"list-style-type: none;\"><ul><li style=\"list-style-type: none;\"><ul><li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">La<\/span> mauvaise gestion<span style=\"font-weight: 400;\"> de la soci\u00e9t\u00e9 (d\u00e9t\u00e9rioration de la sant\u00e9 financi\u00e8re de la soci\u00e9t\u00e9 imputable au g\u00e9rant)<\/span><\/li><\/ul><\/li><\/ul><\/li><\/ul><div><span style=\"font-family: Montserrat;\">\u00a0<\/span><\/div><ul><li style=\"list-style-type: none;\"><ul><li style=\"list-style-type: none;\"><ul><li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Le <\/span>non-respect d\u2019une disposition l\u00e9gislative ou statutaire<\/li><\/ul><\/li><\/ul><\/li><\/ul><div><span style=\"font-family: Montserrat;\">\u00a0<\/span><\/div><ul><li style=\"list-style-type: none;\"><ul><li style=\"list-style-type: none;\"><ul><li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Une <\/span>m\u00e9sentente<span style=\"font-weight: 400;\"> grave entre les associ\u00e9s (perte de confiance des associ\u00e9s, opposition syst\u00e9matique, \u2026)<\/span><\/li><\/ul><\/li><\/ul><\/li><\/ul><p><span style=\"font-weight: 400;\">En revanche, un \u00e9l\u00e9ment de la vie personnelle du g\u00e9rant ne peut en aucun cas constituer un juste motif de <b>r\u00e9vocation du g\u00e9rant d\u2019une SARL<\/b>. <\/span><\/p><h3>\u00a0<\/h3><h3>Les dommages-int\u00e9r\u00eats en cas de r\u00e9vocation g\u00e9rant SARL abusive<\/h3><p><span style=\"font-weight: 400;\">Dans les cas o\u00f9 la r\u00e9vocation du g\u00e9rant d\u2019une SARL n\u2019a pas \u00e9t\u00e9 r\u00e9alis\u00e9e selon un juste motif, on parle de <\/span>r\u00e9vocation abusive<span style=\"font-weight: 400;\">. Ainsi, le g\u00e9rant \u00e9vinc\u00e9 pourra demander devant un tribunal l\u2019attribution de <\/span>dommages-int\u00e9r\u00eats<span style=\"font-weight: 400;\">. On parle g\u00e9n\u00e9ralement de r\u00e9vocation vexatoire. Cela concerne principalement les conditions dans lesquelles la r\u00e9vocation a \u00e9t\u00e9 effectu\u00e9e. Ainsi, il faut que les associ\u00e9s respectent le<\/span> principe du contradictoire<span style=\"font-weight: 400;\"> : le g\u00e9rant doit avoir la possibilit\u00e9 de se d\u00e9fendre. La r\u00e9vocation d\u2019un g\u00e9rant de SARL est abusive en cas d\u2019invectives ou d\u2019injures prof\u00e9r\u00e9es en son encontre notamment. <\/span><\/p><h2 id=\"III\">\u00a0<\/h2><h2 id=\"III\">La nomination d\u2019un nouveau g\u00e9rant<\/h2><p><span style=\"font-weight: 400;\">Suite \u00e0 la r\u00e9vocation g\u00e9rant SARL, un<\/span> nouveau g\u00e9rant sera nomm\u00e9<span style=\"font-weight: 400;\">, d\u2019autant plus s\u2019il n\u2019y a qu\u2019un seul g\u00e9rant.. Pour faire cela, il faut r\u00e9aliser un certain nombre de formalit\u00e9s aupr\u00e8s du greffe. Au cours de la m\u00eame assembl\u00e9e g\u00e9n\u00e9rale, les associ\u00e9s d\u00e9cident selon les r\u00e8gles pr\u00e9vues dans les statuts de la nomination du nouveau g\u00e9rant.<\/span><\/p><p><span style=\"font-weight: 400;\">Une annonce l\u00e9gale contenant les d\u00e9cisions prises doit \u00eatre publi\u00e9e dans un journal d\u2019annonces l\u00e9gales. Le proc\u00e8s-verbal doit \u00eatre d\u00e9pos\u00e9 aupr\u00e8s du <\/span>greffe<span style=\"font-weight: 400;\">. Pour le nouveau g\u00e9rant, <\/span>une d\u00e9claration de non-condamnation et de filiation<span style=\"font-weight: 400;\"> doit \u00e9galement \u00eatre fournie au greffe. Doit aussi \u00eatre d\u00e9pos\u00e9 au greffe, un<\/span> formulaire M2<span style=\"font-weight: 400;\"> d\u00fbment compl\u00e9t\u00e9 et sign\u00e9 ainsi qu\u2019une d\u00e9claration des b\u00e9n\u00e9ficiaires effectifs.
