Une personne morale ne peut en aucun cas \u00eatre <a href=\"https:\/\/www.legalvision.fr\/modification-statuts\/changement-de-dirigeant\/\">g\u00e9rant de SARL<\/a>. On distingue plusieurs types de g\u00e9rants : le g\u00e9rant majoritaire, le g\u00e9rant minoritaire et le g\u00e9rant \u00e9galitaire. La r\u00e9mun\u00e9ration d\u2019un g\u00e9rant de SARL peut s\u2019av\u00e9rer complexe.\u00a0<\/span>\n<\/p>\n<h3>R\u00e9mun\u00e9ration g\u00e9rant SARL &#8211; le point<\/h3>\n<p>Dans cet article, LegalVision met \u00e0 votre service son expertise juridique pour vous aider \u00e0 tout comprendre sur ce sujet. Un g\u00e9rant minoritaire ?<\/h2>\n<p><span style=\"font-weight: 400;\">Le g\u00e9rant <\/span><b>majoritaire<\/b><span style=\"font-weight: 400;\"> d\u00e9tient plus de la moiti\u00e9 des parts sociales de la soci\u00e9t\u00e9. Pour savoir si le g\u00e9rant est majoritaire il faut ajouter \u00e0 ses parts celles d\u00e9tenues par son conjoint.<\/span><\/p>\n<p>En cas de pluralit\u00e9 de g\u00e9rants, le caract\u00e8re majoritaire de la g\u00e9rance est appr\u00e9ci\u00e9 en additionnant toutes les parts d\u00e9tenues par les g\u00e9rants. Il faut \u00e9galement tenir compte de la situation familiale du g\u00e9rant.<\/p>\n<p><span style=\"font-weight: 400;\">Le g\u00e9rant <\/span><b>minoritaire<\/b><span style=\"font-weight: 400;\"> est le g\u00e9rant qui d\u00e9tient moins de la moiti\u00e9 des parts sociales.<\/span><\/p>\n<p><b>Par exemple<\/b><span style=\"font-weight: 400;\"> : <\/span><\/p>\n<ul>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Un g\u00e9rant d\u00e9tient 20 % des parts sociales et son conjoint 15 %<\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Un autre g\u00e9rant d\u00e9tient 20% des parts<\/span><\/li>\n<\/ul>\n<p>\u2192 La g\u00e9rance est majoritaire : 55 % des parts sociales sont d\u00e9tenus par un g\u00e9rant ou un conjoint de g\u00e9rant.<\/p>\n<h2 id=\"II\">La r\u00e9mun\u00e9ration du g\u00e9rant de la SARL : est-ce obligatoire ?<\/h2>\n<p>La r\u00e9mun\u00e9ration n\u2019est pas obligatoire pour un dirigeant de SARL. Si les associ\u00e9s souhaitent r\u00e9mun\u00e9rer le ou les g\u00e9rants, les modalit\u00e9s sont indiqu\u00e9es peuvent \u00eatre indiqu\u00e9es dans les statuts. La plupart du temps, les associ\u00e9s d\u00e9cident des modalit\u00e9s dans un acte ult\u00e9rieur. Celui-ci devra \u00eatre adopt\u00e9e lors de l\u2019assembl\u00e9e g\u00e9n\u00e9rale ordinaire des associ\u00e9s. \u00a0Si elle est fix\u00e9e dans les statuts, il faudra r\u00e9aliser une modification statutaire.<\/p>\n<p>G\u00e9rant SARL r\u00e9mun\u00e9ration : le g\u00e9rant d\u2019une SARL non salari\u00e9 ne peut pas pr\u00e9tendre \u00e0 une r\u00e9mun\u00e9ration minimale au niveau du SMIC.<\/p>\n<p><span style=\"font-weight: 400;\">Dans le cas o\u00f9 le g\u00e9rant exerce \u00e0 titre gratuit, il ne paiera aucune charge sociale s\u2019il est minoritaire ou \u00e9galitaire. Mais, si le g\u00e9rant non r\u00e9mun\u00e9r\u00e9 est majoritaire, ces charges sociales sont tout de m\u00eame dues. <\/span><\/p>\n<p><span style=\"font-weight: 400;\">Enfin, le g\u00e9rant ne peut jamais augmenter lui-m\u00eame le montant de sa r\u00e9mun\u00e9ration. Cette d\u00e9cision est prise par la collectivit\u00e9 des associ\u00e9s r\u00e9unis en<\/span><b> assembl\u00e9e g\u00e9n\u00e9rale <\/b>(PV\u00a0d&rsquo;assembl\u00e9e g\u00e9n\u00e9rale SARL)<span style=\"font-weight: 400;\">. Il peut n\u00e9anmoins participer au vote.<\/span><\/p>\n<h2 id=\"III\">Le cas du g\u00e9rant de SARL salari\u00e9<\/h2>\n<p>R\u00e9mun\u00e9ration g\u00e9rant salari\u00e9 SARL : il peut \u00eatre salari\u00e9 pour d\u2019autres activit\u00e9 au sein de la soci\u00e9t\u00e9. Le g\u00e9rant minoritaire ou \u00e9galitaire peut aussi \u00eatre salari\u00e9 (li\u00e9 par un contrat de travail) de la soci\u00e9t\u00e9 pour des fonctions techniques qu\u2019il exerce en son sein. Ces fonctions doivent \u00eatre diff\u00e9rentes de celles exerc\u00e9es pour son mandat de g\u00e9rant.<\/p>\n<p><b>Attention<\/b><span style=\"font-weight: 400;\"> : un g\u00e9rant majoritaire ne peut en aucun cas avoir un <\/span>contrat de travail<span style=\"font-weight: 400;\">.<\/span><\/p>\n<h3><span style=\"font-weight: 400;\">Quelles sont les conditions \u00e0 respecter pour qu\u2019un g\u00e9rant puisse \u00eatre salari\u00e9 de la soci\u00e9t\u00e9 ?<\/span><\/h3>\n<ul>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Le contrat de travail doit \u00eatre sign\u00e9 pour un travail effectif. Les missions confi\u00e9es dans ce cadre doivent \u00eatre diff\u00e9rentes de celles r\u00e9alis\u00e9es en tant que mandataire social. <\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">doit y avoir un lien de subordination envers la soci\u00e9t\u00e9. <\/span><\/li>\n<\/ul>\n<p>Dans le cas o\u00f9 ces conditions ne seraient pas respect\u00e9es, le contrat de travail ne sera pas valide.<\/p>\n<h2 id=\"IV\">De quoi est compos\u00e9e la r\u00e9mun\u00e9ration du g\u00e9rant ?<\/h2>\n<p><span style=\"font-weight: 400;\">Fixation r\u00e9mun\u00e9ration g\u00e9rant SARL : la r\u00e9mun\u00e9ration est valablement fix\u00e9e selon une des deux m\u00e9thodes suivantes : <\/span><\/p>\n<ul>\n<li style=\"font-weight: 400;\">\n<span style=\"font-weight: 400;\">R\u00e9mun\u00e9ration <\/span><b>fixe<\/b><span style=\"font-weight: 400;\"> : une somme fixe est d\u00e9termin\u00e9e par les associ\u00e9s. L\u2019avantage pour le g\u00e9rant est qu\u2019il sait exactement quelles sommes il va gagner. <\/span>\n<\/li>\n<li style=\"font-weight: 400;\">\n<span style=\"font-weight: 400;\">R\u00e9mun\u00e9ration <\/span><b>variable<\/b><span style=\"font-weight: 400;\"> : elle est d\u00e9termin\u00e9e proportionnellement au b\u00e9n\u00e9fice r\u00e9alis\u00e9 par la soci\u00e9t\u00e9<\/span>\n<\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Enfin, la r\u00e9mun\u00e9ration peut \u00eatre compos\u00e9e d\u2019une partie fixe et d\u2019une partie variable (calcul\u00e9e sur les r\u00e9sultats de la soci\u00e9t\u00e9). <\/span><\/li>\n<\/ul>\n<p><span style=\"font-weight: 400;\">Par ailleurs, le g\u00e9rant peut b\u00e9n\u00e9ficier d\u2019avantages en <\/span><b>nature<\/b><span style=\"font-weight: 400;\">, avec des avantages quant \u00e0 son logement ou son v\u00e9hicule. Il peut aussi b\u00e9n\u00e9ficier de certaines primes ou encore d\u2019une retraite compl\u00e9mentaire<\/span><\/p>\n<h2 id=\"V\">Le r\u00e9gime social et fiscal du g\u00e9rant de SARL<\/h2>\n<p><span style=\"font-weight: 400;\">R\u00e9mun\u00e9ration g\u00e9rant SARL<\/span><b> charges sociales<\/b><span style=\"font-weight: 400;\"> : lorsque le g\u00e9rant est majoritaire, il est rattach\u00e9 aux travailleurs non-salari\u00e9s (TNS). En revanche, lorsqu\u2019il est minoritaire ou \u00e9galitaire il est assimil\u00e9-salari\u00e9 concernant sa protection sociale. La seul exception est qu\u2019il ne cotise pas et ne b\u00e9n\u00e9ficie donc pas de l\u2019assurance ch\u00f4mage.<\/span><\/p>\n<p><b>Remarque<\/b><span style=\"font-weight: 400;\"> : <a href=\"http:\/\/www.expert-remuneration.com\">la r\u00e9mun\u00e9ration du g\u00e9rant <\/a>doit correspondre \u00e0 la situation financi\u00e8re de la SARL. Ainsi, si le g\u00e9rant majoritaire obtient une r\u00e9mun\u00e9ration trop \u00e9lev\u00e9e, une action en justice pour abus de majorit\u00e9 est possible. Cette r\u00e9mun\u00e9ration sera consid\u00e9r\u00e9e comme \u00e9tant contraire \u00e0 l&rsquo;int\u00e9r\u00eat de la soci\u00e9t\u00e9.
